ARTICLE I - NAME

The Organization shall be knows as Canton Sports Academy Inc. hereinafter referred to as CSA or the Club.

The headquarters/address of the Club shall be that of the elected President.

ARTICLE II - PURPOSES AND POWERS

  1. The purpose of CSA is to provide the best opportunity for children of all ages to develop and enhance their soccer abilities, technically and tactically, while maintaining a level of enjoyment and love the game of soccer.

  2. This purpose shall be achieved by providing recreational and competitive soccer opportunities for the youth in the area, including but no limited to Canton, Randolph, Sharon, Stoughton.

  3. CSA will not discriminate against any individual on the basis of race, color, religion, gender identity or expression, sexual orientation or national origin.

  4. The Club may make contributions, in such amounts as the Board determine reasonable for the welfare of the community

  5. No part of the earnings of the Club shall insure to the benefit of any member, trustee, director, officer of the Club, or any private individual, except that reasonable compensation may be paid for services rendered to or for the Club.

  6. Upon the dissolution of this organization, the Board of Directors shall, after paying or making provision for the payments of all of the liabilities of the Corporation, dispose all of the assets of the Corporation exclusive for the purposes of the Corporation in such a manner, or to such organizations organized and operated exclusively for charitable, educational or scientific purposes as shall at the time qualify as an exempt organization or organization under section 501(c)(3) of the Internal Revenue Code 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Director shall determine. Any of such assets not so disposed of shall be disposed of by the Superior Court of the county in which the principal office of the Corporation is then located, exclusively or primarily for such purposes or to such organization or organizations, as said Court shall determined, where are organized and operated exclusively for such purposes.

ARTICLE III - MEMBERSHIP

Membership in CSA shall include:

  1. Youth who register to play soccer.

  2. Parent or guardians of registered and adults who have volunteered their time, who are supportive of the Purposes of CSA and interested in the development of the youth soccer program.

ARTICLE IV - COACHES

All CSA coaches are volunteer member of the CSA communities, volunteering their time to help mentor and coach players of CSA. The coach represents CSA and should promote good sportsmanship.

CSA must have a Director of Coaching (DoC) that needs to be a U.S. Soccer License C Certified coach.

ARTICLE V - GOVERNANCE

  1. The Organization shall consist of a Players, General Membership (Parents/Guardians of players plus Volunteer Coaches and Referees) and Board of Directors.

  2. Board of Directors and officers with voting privileges, hereinafter referred as the Board, shall the responsible of executing all matters of the policy (fiscal, administrative, rules).

    • All Board member shall be older than 21 years old.

    • Board members shall be elected for one year term and shall be eligible for re-election.

    • When required to guarantee normal operation of the Club one person can hold more than one office.

    • When required members of the Board shall be required to fill one of the following offices:

      • President

      • Vice-president - can be left vacant for the duration of the term

      • Secretary

      • Treasurer.

  3. Decisions shall be made by Quorum. A simple majority (50% plus one) will constitute a quorum for Board meetings.

  4. d) Officer spending authority:

    • Officers are authorized to make purchases on behalf of CSA up to $100.

    • Amounts greater than $100 must be approved by the Treasurer.

    • Any purchase greater than $1000 must be approved by the President and the Treasurer.

ARTICLE VI - BOARD OF DIRECTORS

  1. The affairs of the Corporation shall be governed by the Board of Directors.

  2. The Board of Directors shall server for 1 years.

  3. The number of directors may be increased or decreased from time to time, by vote of the board of directors, in order to accommodate new functions.

  4. At no time will the number of Board of Directors exceed nine (9) or be less than three (3).

  5. The Board will meet at least twice a year.

  6. Board members will notify the President if they plant to be absent form the Board Meeting.

  7. For election of a new Board members, at least 3 currently active adult members shall constitute a quorum.

  8. In case of vacancy due to the departure, resignation or removal of a member prior end of his/her term, the Board shall fill the position by simple majority vote.

ARTICULE VII - OFFICIES AND DUTIES - VOTING MEMBERS.

The offices of the club shall be as follows with voting privileges:

  • President: Responsible for implementing all policies enacted by the Board. At the direction of the Board, the president coordinates the activities of the various committees and supervises the overall management of CSA. If the office is vacated for any reason the Board shall elect a successor to the post of President as stated earlier in Article V Governance.

Additional duties of the President:

  • Presides at all general meetings and Board meetings.

  • Acts as an official representative of CSA

  • Be authorized to sign checks

  • Vice President: Shall assist the President in the performance of his/her duties. Succeed to the office and powers of the President in his/her absence. If the office is vacated for any reason the Board shall elect a successor to the post of Vice President as stated earlier in Article V. Perform other duties as assigned by the Board.

  • Secretary: Shall keep an accurate written record of all official meetings of the organization. Make all records available to any member or director of the organization as required. Shall be responsible for all official correspondence of the organization, as directed by the Board, and to maintain, on file, a copy of this correspondence. Perform other duties as assigned by the Board.

  • Treasurer: The Treasurer shall have charge of funds of CSA and shall keep all appropriate financial records and shall provide periodic summaries of the financial standings of CSA as required by the President and Board of Directors. The Treasurer shall sign all contracts between CSA and second parties, upon prior approval of the Board.

  • Disbursements should only be made with the approval of the Board. The Treasurer shall sign all checks drawn on all CSA accounts and insure that all disbursements requiring more than one signature are properly executed. Although the Board may set lower limits, all checks drawn in the name of CSA for more than $1000.00 are to be signed by the President and the Treasurer.

  • The Treasurer shall see that all funds collected in the name of CSA be deposited in properly appointed depositories and that no expenditures of any kind be made without his/her approval or knowledge, and the approval of the Board.

• Director of Coaching: The Director of Coaching shall be responsible for the recruiting training and development of coaches; shall manager Board approved coaching and player training programs; oversee all coaching and player clinics and training programs.

ARTICLE VIII - OFFICES AND DUTIES - NON VOTING MEMBERS

  • Registrar: The Registrar shall insure that all registration procedures required by the Board are adhered to. The Registrar shall maintain player and team registration records and rule on the eligibility of the players and teams. The Registrar shall keep any data pertaining to the teams, coaches, managers, players, etc. pertinent to performance of their duties and CSA interest.

  • Field manager: The Field Manager shall be responsible for preparing fields for practice and games;

  • Equipment manager: The Equipment Manager shall be responsible for uniform and equipment purchases and be the liaison between the Club and the equipment provider.

  • Referee assignor: The Referee Assignor shall be responsible for assigning appropriate referees for all Club home matches as well as oversee referee training and development.

ARTICLE IX - FISCAL POLICY

The fiscal year shall be from September 1 to August 31 of the following year. All monies payed to the Club shall be promptly deposited in an account in the name of CSA.

ARTICLE X - GUIDELINES FOR FIELDING TEAMS

  1. Teams shall be fielded as players, coaches, available fields and equipment allow.

  2. Players will play in their appropriate age group as define by Massachusetts Youth Soccer (MYS), or by grade the attend in school.

  3. The Board may grant exceptions if it is determined to be in the best interest of the player and teams involved.

  4. U8 - U9 Team will be formed without tryout.

  5. U10 and above shall be formed following a formal try-out procedure.

  6. Age divisions shall be in accordance with MYS and League guidelines.

  7. Teams shall abide by the rules and regulations of MYS and the League.

ARTICLE XI - OTHER MATTERS

The Board shall have the power to deal with matters no explicitly covered by the Bylaws including but not limited to fundraising event or sponsorship.

ARTICLE XIII - AMENDMENTS

Bylaw may be amended, altered or appealed at any scheduled Board meeting, provided that changes are presented to the Board 15 days prior to the scheduled meetings and receives a simple majority vote of the Board on the scheduled meeting.
